End-User Software License Agreement

This End-User Software License Agreement (the “EULA”) is a binding agreement between you and Arkos Systems, LLC, operating under its trade name Arkos Learning Solutions (“Arkos”), governing the Workflow desktop application and any associated updates, documentation, and templates (the “Software”). The Software is licensed, not sold. By installing, activating, or using the Software, you agree to this EULA and to the Terms of Service and Privacy Policy, which are incorporated by reference.

1. License grant

Subject to your compliance with this EULA and payment of any applicable fees, Arkos grants you a limited, personal, non-exclusive, non-transferable (except as in Section 4), non-sublicensable, revocable license to install and use one (1) copy of the Software for your internal purposes on one (1) Apple-silicon Mac that you own or control, for the duration of a valid license term (typically one year from issuance), solely as authorized by your signed entitlement.

2. License restrictions

You will not, and will not permit others to:

copy (except one backup copy), modify, adapt, translate, or create derivative works of the Software;
distribute, sell, rent, lease, lend, host, sublicense, or otherwise make the Software available to third parties;
reverse engineer, decompile, or disassemble the Software, or attempt to derive source code, except to the limited extent applicable law expressly permits notwithstanding this restriction;
circumvent, disable, remove, or tamper with license validation, entitlement signatures, the device key binding, expiration, or other security or usage-control mechanisms;
remove or alter any proprietary notices, marks, or labels;
use the Software to develop a competing product or for unauthorized benchmarking.

3. Activation, device binding & offline use

Activation generates an asymmetric key pair on your Mac; only the public key is sent to Arkos to bind the license to your device and issue a cryptographically signed entitlement. The Software validates this entitlement locally and may operate offline for the duration of the active term. Because the Software can run offline, a license cannot be revoked remotely while your device is offline; revocation, deactivation, transfer, and reset are processed when your device next connects. You agree not to manipulate your system clock or otherwise attempt to extend the license term.

4. Device transfer

You may move your license to a replacement Mac by deactivating the prior device and activating the new one through the Service. Arkos may limit the frequency of transfers and may require administrator assistance for lost or inaccessible devices.

5. Beta software

The Software is pre-release “beta” and is provided for evaluation. It may contain errors, may change, and may be withdrawn at any time, with no warranty, support commitment, or assurance of data integrity. Use is at your own risk; maintain independent backups.

6. Restricted & regulated data

The Software is not authorized for classified information, Controlled Unclassified Information, export-controlled technical data, source-selection-sensitive or procurement-sensitive information, protected health information, criminal justice information, or other regulated data. You are solely responsible for the data you place in the Software and agree to indemnify Arkos for any violation, as provided in the Terms of Service.

7. Templates & generated documents

Document generation runs locally; template contents are not transmitted to Arkos. Arkos does not execute macros and does not guarantee compatibility with every document feature; unsupported constructs may be detected and flagged. You are responsible for the accuracy and suitability of any generated document.

8. Ownership

The Software and all intellectual-property rights in it are and remain the exclusive property of Arkos and its licensors. This EULA grants only the limited license expressly stated; all rights not granted are reserved. The “Workflow,” “Arkos,” “Arkos Systems,” and “Arkos Learning Solutions” names, logos, and marks are owned by Arkos and may not be used without prior written permission.

9. Updates

Arkos may provide signed updates, which are subject to this EULA unless accompanied by a separate license. Arkos is not obligated to provide updates, maintenance, or support during the beta.

10. Term, termination & expiration (read-only mode)

This EULA is effective until terminated. It terminates automatically if you breach it. Upon license expiration without renewal, the Software enters read-only mode: you retain the ability to open, view, search, back up, export, and print your existing project information, while editing, creating new records, sending email, and creating calendar events are disabled. Arkos will not delete or encrypt your project information as a result of expiration. Installing a renewed, valid entitlement restores full functionality. Upon termination for breach, you must cease use; the data-preservation behavior above still applies to information already stored on your device.

11. Disclaimer of warranties

The software is provided “as is” and “as available,” with all faults and without warranty of any kind. To the maximum extent permitted by law, Arkos disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and does not warrant uninterrupted, secure, error-free, or loss-free operation.

12. Limitation of liability

To the maximum extent permitted by law, Arkos and the Arkos Parties will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from or related to the software, under any theory of liability. Arkos’s total cumulative liability will not exceed the greater of the amounts you paid for the software in the prior twelve (12) months or fifty U.S. dollars (US $50.00); for beta or no-charge use, US $50.00. These limits apply even if a remedy fails of its essential purpose.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Arkos Parties from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Software, your data (including restricted data entered in violation of Section 6), your breach of this EULA, or your violation of law or third-party rights, as further described in the Terms of Service.

14. Export & U.S. Government rights

You will comply with all applicable export-control and sanctions laws and will not export or re-export the Software in violation of those laws. The Software is “commercial computer software” and “commercial computer software documentation”; U.S. Government end users acquire only the rights set forth herein, consistent with FAR 12.212 and DFARS 227.7202.

15. Governing law

This EULA is governed by the laws of the State of Washington, United States, without regard to conflict-of-laws rules, and the dispute-resolution, arbitration, and venue provisions of the Terms of Service apply.

16. General

This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement regarding the Software and supersedes prior agreements. If any provision is unenforceable, the remainder stays in effect. Arkos’s failure to enforce a provision is not a waiver. You may not assign this EULA without Arkos’s consent; Arkos may assign freely. Sections 2, 6, 8, 11–15 survive termination.
